Usage Rights: The image/video material is licensed for exclusive use by the client (Simple Usage Right). Distribution or sale to third parties (secondary use) is not included; however, extended usage rights can be purchased for a surcharge. This also applies to any modification of the images or videos.

Raw Material (Raw Footage): Unless otherwise agreed in the offer, only the final, defined videos (end products) will be delivered to the client. The delivery of all raw footage is not part of the standard scope of service but can be added separately for a surcharge upon request.

One Revision Round: One round of revisions for the final video is included. All further adjustments will be billed additionally.

Delivery Timescale: Unless specified otherwise, the delivery timeframe will be communicated upon commissioning, as it depends on the current project workload. Please inform us of any specific deadlines before commissioning the project to ensure they can be met.

Concepts and Scripts: Developed concepts and scripts may not be used by the recipient of the offer or implemented by other production companies without the express consent of VideoMetrixs, as they are protected by copyright. If a violation is identified, the costs for the concept creation will be invoiced. This applies especially if the offer itself is not accepted.

Storyboard: If a storyboard is part of the project, five revision rounds for the storyboard are included. After final approval, no further changes can be made without incurring additional costs.

Self-Promotion: VideoMetrixs is entitled to use the image/video material for its own promotional purposes and may name the client as a reference.

Photo Credit & Attribution: On the website (or other media such as print) where the image/video material is used, attribution must be given as "Photo: VideoMetrixs" or "Video: VideoMetrixs". A waiver of this attribution requirement can be purchased for a surcharge.

Additional Services & Third-Party Costs: Services not explicitly included in the offer will be billed cumulatively. Any expenses not included (e.g., models, cable car tickets to the location) will be passed on to the client.

Third-Party Rights: If the client provides instructions regarding persons, locations, or objects to be recorded, the client is solely responsible for ensuring that their depiction is lawful and does not infringe upon any third-party rights (e.g., personality rights, trademark rights). The client shall obtain all necessary consents and releases from third parties in advance and at their own expense. The client agrees to indemnify and hold VideoMetrixs harmless from any and all claims by third parties arising from the breach of this obligation.

Cancellation: Should a cancellation occur after the order has been confirmed, it is free of charge if the project is postponed (rescheduled within one year) or replaced by a new project for the same date. If a postponement or replacement is not possible, the following cancellation fees will apply: 30% of the total offer amount up to 14 days prior to the first day of shooting; 60% up to 4 days prior to the first day of shooting; 75% for any later cancellation. If the offer includes third-party services (e.g., models, hardware rentals, accommodation), these costs will be charged up to 100% in the event of a cancellation.

Music Licensing: The standard music license covers all online publications. For broadcasts on TV or streaming services like Netflix, an extended TV license is required and available for a surcharge.

CGI and Retouching: CGI (Computer Generated Imagery) elements and animations are not included by default unless explicitly mentioned in the concept. Retouching is possible but will be billed separately due to the potentially high amount of time and work involved. Please communicate any special requirements early in the process.

Voice Over: The usage license for professional voice-over recordings covers online publications. If the voice-over is to be used for TV broadcasts or paid advertising campaigns (online or offline), a full "buy-out" is required, the cost of which varies depending on the voice artist. This regulation does not apply to AI-generated voice-overs.

Cooperations and Agencies: For projects commissioned through advertising agencies, the agency and its client receive a Simple Usage Right to the created image/video material. Attribution to VideoMetrixs as the creator is mandatory: on Instagram as "📹@franz.metrixs videometrixs.com" and on other platforms or websites as "videometrixs.com". Distribution, sale, or modification is not included in the Simple Usage Right but can be acquired for a surcharge. The agency may use the material for its own self-promotion as long as VideoMetrixs is credited as the creator. In turn, VideoMetrixs may name the agency in its own promotional publications. The agency typically handles the organization (shoot schedule, models, props, location scouting). For referral contracts, separate regulations apply. The collaboration will be handled confidentially and professionally by both parties. Internal information remains protected. The agency receives a feedback round before final approval from their client. Raw footage will not be provided.

Catering (For Weddings): For weddings, catering and a seating place are to be provided free of charge by the wedding couple. If possible, the table should be positioned so that important moments and speeches can be easily observed and captured.

Weather: If, on the day of the shoot, an acceptable lighting situation is not present due to weather, resulting in aesthetically poor material, this will be communicated. If both parties agree, the shoot will be cancelled and rescheduled. The resulting additional costs (travel, time, models, etc.) will be borne by the client.

Time-lapse and Long-Term Shoots: If equipment from VideoMetrixs is placed unattended at the client's location for a project (e.g., time-lapse recordings), the client bears the full risk for theft, damage, or loss from the moment of installation. In the event of damage or loss, the client indemnifies VideoMetrixs from any liability and will reimburse the replacement value of the equipment as well as the service costs incurred up to that point. There is no claim to the image/video material that was lost.

Duty of Care: The equipment used for recording meets professional standards, and great care is taken to ensure no external factors compromise the recording. Nevertheless, in the event of uncontrollable factors or force majeure (e.g., corrupt memory card, weather, accident, theft, technical defect, Single-Event Upset), no claims for damages can be made against the videographer.

Force Majeure: Should the event/shoot be cancelled or interrupted due to force majeure (e.g., weather, epidemic), only the expenses and costs incurred up to that point are to be paid. This also includes expenses for any specific hardware or software purchased for the project.

Payment: Upon confirmation of the order, a down payment of 30% of the total offer amount is due. The remaining balance must be paid within 30 days of receipt of the final invoice by bank transfer.

Acceptance: These terms and conditions are accepted upon the verbal or written commissioning of the project.
